5. Payments and Billing

5.3 Late Payments: Late payments may incur interest charges of 1.5% per month or the maximum rate allowed by law.
6. Intellectual Property
6.1 Client IP: All pre-existing intellectual property owned by the client remains the property of the client.
6.2 Deliverables: Upon full payment, the client receives ownership of the custom-developed software and deliverables as specified in the Service Agreement.
6.3 Our IP: Nihit Cloud retains ownership of our proprietary tools, frameworks, libraries, and methodologies used in development.
7. Confidentiality
Both parties agree to maintain the confidentiality of all proprietary information shared during the course of the project. This includes:

8. Warranties and Disclaimers
8.1 Service Warranty: We warrant that our services will be performed in a professional and workmanlike manner, consistent with generally accepted industry standards.
8.2 Disclaimer: Except as expressly stated herein, we disclaim all other warranties, express or implied, including merchantability and fitness for a particular purpose.
8.3 Third-Party Services: We are not responsible for third-party services, APIs, or platforms integrated with our solutions.
9. Limitation of Liability
To the maximum extent permitted by law, Nihit Cloud's total liability arising out of or related to these Terms or our services shall not exceed the total amount paid by the client for the specific services giving rise to the claim in the six months preceding the claim.
We shall not be liable for any indirect, special, incidental, or consequential damages, including lost profits or business interruption.
10. Termination
Either party may terminate a Service Agreement for material breach if the breaching party fails to cure the breach within 30 days of written notice.
Upon termination, the client shall pay for all services rendered and expenses incurred up to the termination date.
11. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in Noida, Uttar Pradesh.
The parties agree to attempt to resolve any dispute through good-faith negotiations before pursuing other remedies.
12. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify clients of material changes via email or through our website. Continued use of our services after such changes constitutes acceptance of the modified Terms.
